Smartsheet Solution Services Engagement

This Agreement (“Agreement”) is made and entered into as of the purchase date, and is between DigitalRadius, LLC (the “Service Provider”) and the purchaser (the “Client”).

Client is requesting specified hours of Smartsheet Support Services for the amount specified in the purchase. Services provided are on a prepaid basis. Hours worked will be reported to client on a weekly basis.  Additional time if required can be purchased as necessary. Expenses will be charged at cost and with approval of project sponsor.

Description of Activities

The purchased hours from a DigitalRadius Smartsheet Solutions Developer are to be used as required by the client in direct support of Smartsheet related tools and technology.  The hours may be utilized as advisory, support, development, troubleshooting, training and, or knowledge transfer and are valid from 1 year of purchase.  Additional ‘blocks’ of time can be purchased incrementally at the discretion of the client.

Assumptions

1) Work performed is at the request and authorization of the client and in support of Client’s licensed Smartsheet environment
2) Client is not representing a third party and has authority to purchase these services
3) There could be time dependencies of data availability which will need be accounted for in the project planning
4) Adherence to appropriate industry and regulatory controls is to be followed for connecting to the source database, transferring files, and securely storing files in the destination repository

Client Responsibilities

The success of the services provided require collaboration between Service Provider and Client. Responsibilities of Client to assure project success include a) providing appropriate access to systems and related processes, b) appropriate and timely access to relevant stakeholders and c) timely review and acceptance of work performed.

Obligations & Representations of DigitalRadius In Conduct of Services

DigitalRadius will perform all duties as appropriate and in accordance with generally acceptable industry best practices.
