Confidentiality 

For purposes of this Agreement, the term “Confidential Information” means any scientific, technical, trade or business information developed for or possessed by the client which is treated by the client as confidential or proprietary, including, without limitation, (a) intellectual property, such as, but not limited to, patent applications, copyrights, copyright applications, and trade secrets; (b) information regarding or resulting from research and development projects and other projects (such as, but not limited to, preclinical and clinical data, design details and specifications, engineering information, and works in process); (c) business and financial information (such as, but not limited to, current, future, and proposed products and services, financial information and models, information relating to procurement requirements, purchasing, manufacturing, customer lists, product plans, product ideas, business strategies, marketing or business plans, financial or personnel matters, investors, employees, business and contractual relationships, business forecasts, sales, strategy, operations, policies, procedures, commercialization capabilities, and information regarding third parties, suppliers, customers, employees, investors or facilities).

Confidential Information may be disclosed to persons within its organization who have a need to receive such Confidential Information in order to further the purposes of this Agreement and are bound to protect the confidentiality of such Confidential Information and shall exercise all commercially reasonable precautions to physically protect the integrity and confidentiality of the Confidential Information. In addition Service Provider will meet or exceed the confidentiality and handling of personal information as outlined in Smartsheet’s user agreement as posted as of October 31, 2022. Developments

All information and materials furnished under this Agreement shall remain the exclusive property of the Client.  All deliverables and any other results generated by Provider in its performance of this Agreement and all associated intellectual property rights shall be “works made for hire” and the exclusive property of the Client (“Developments”).
